These Terms and Conditions govern the contractual relationship between the provider and the customer for paid Avensio subscriptions and licence-based software access.
The provider is the sole proprietor Armin Kunkel. In these Terms and throughout the Avensio websites, "we", "us" and "provider" refer to Armin Kunkel.
Avensio provides software for developers, including open-source packages, documentation and paid licence-based developer tools. The subscription flow concerns the paid Avensio Pro DevTools, in particular the Nuxt JSON-LD Debugger offered through jsonld.avensio.de. www.avensio.de is the ecosystem website; documentation is provided through docs.avensio.de.
"Order" means the act by which the customer accepts the offer shown on the payment page by triggering payment. "Order confirmation" (H1) means the first email sent after completion of the ordering process. "Provision email" / "Activation email" (H2) means the email containing the licence, access or setup information required for performance of the contract.
"Open-core" means the publicly accessible part of software that is provided under a free licence, in particular the MIT licence. "Pro DevTools" means paid, licence-based additional functions of an Avensio software product, regardless of whether they are provided within a Solo, Pro or Agency subscription.
§ 1 General Information
Contact details and information about the provider can be found in the legal notice. Information about the processing of personal data can be found in the privacy policy.
By placing an order, you confirm that you are of legal age and have legal capacity in the country of your habitual residence.
The products and subscription access are provided exclusively in digital form. No physical goods are shipped.
Use of Avensio products for unlawful purposes, for bypassing licence checks or in breach of these Terms is prohibited.
The version of these Terms valid at the time the contract is concluded applies. If the customer is a consumer, mandatory consumer protection rules of the state in which the customer has their habitual residence remain unaffected.
The contract language depends on the language selected during the ordering process. Unless a separate binding translation is provided, this English version is used for the Avensio subscription flow.
§ 2 Scope of Application
These Terms apply to contracts for paid subscriptions, software licences and licence-based access to Avensio developer tools, especially the Nuxt JSON-LD Debugger, related Pro DevTools, licence keys and protected package or feature access.
The Avensio ecosystem also includes docs.avensio.de and open-source packages for JSON-LD, graph data, schema tooling and Nuxt applications. Open-source components remain governed by their respective licence files and package metadata unless paid subscription access is expressly affected.
These Terms become part of the contract once you consent to them during the ordering process and complete the order.
The offer is directed both at consumers and at traders. A consumer is a natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession. A trader acts in the exercise of their trade, business or profession.
Any conflicting terms of the customer do not become part of the contract unless the provider expressly agrees to their applicability.
§ 3 Conclusion of Contract
The basis of the contract is formed by the order data displayed on the payment page, in particular the selected plan, price, billing period, scope of services and these Terms.
By placing the order, you accept the offer displayed on the payment page. The contract is thereby concluded.
After placing the order, you receive an order confirmation by email. Licence-based software access is granted after successful payment processing and after the information required for contract processing has been provided, such as tax country, billing address or VAT identification number where required.
For consumers, the right of withdrawal exists until performance of the contract begins. Performance begins when the provision email is sent, licence access is made available or licence-based functions are enabled.
§ 4 Payment Processing and Invoicing
Payment Methods
Payment is made using the payment methods offered on the payment page. These may include credit and debit cards, SEPA direct debit and other locally available payment methods. The payment methods actually available may vary by country.
Payment Service Providers
Payment processing is handled by external payment service providers, in particular Stripe. As part of the ordering process, you may be redirected to the payment page of the respective payment service provider, where you complete the payment.
Prices, taxes, subscription period and available payment methods are shown during checkout. If you act as a trader, you may provide relevant information during the ordering process, such as your VAT identification number.
You are obliged to provide complete and truthful information during the ordering process. Any changes to your data must be notified without undue delay if they are relevant to contract processing, tax handling or subscription access.
Invoicing
Invoices are transmitted electronically. The invoices sent by Avensio by email are authoritative as tax invoices. Documents, receipts or payment views available in a customer portal are provided only for subscription and payment management and do not replace the Avensio invoice sent by email.
§ 5 Software Licences and Subscription Access
Subject Matter of the Licence
Avensio software may consist of a freely accessible open-core part and additional licence-based components. Extended functions, in particular Pro DevTools, are made available only while a commercial licence is active.
Scope of the Licence
By purchasing a subscription, the customer receives a simple, non-exclusive and non-transferable right to use the licence-based Avensio software components within the selected plan and for the active licence term.
Use is permitted only in connection with the licensee's own development projects or projects of the licensee's clients. The licence may be limited by plan, for example by number of projects, team members, environments or other usage parameters shown during checkout.
Passing the licence-based software, licence keys or protected access on to third parties, in particular by publication, resale, rental or sublicensing, is not permitted.
Technical Licence Verification
Technical measures may be used to enforce the licence terms, such as licence keys, protected package access or automated licence checks. These measures serve to determine whether a valid licence exists for use of the extended functions.
The customer is not entitled to bypass, manipulate or disable technical protection measures or licence checks. Revoked, replaced, expired or compromised licence keys may be blocked.
§ 6 Term, Renewal and Cancellation
Subscriptions may be purchased with either a monthly or annual term. The term begins when performance of the contract starts, namely when licence access is provided after successful payment processing.
Unless stated otherwise, the subscription renews automatically for the selected term, monthly or annually, unless cancelled in due time. The subscription renews at the price agreed during checkout, unless the customer has been informed of a price change in advance and has the opportunity to cancel before the change takes effect.
The customer may cancel the subscription at any time with effect from the end of the current paid term. For monthly subscriptions, cancellation becomes effective at the end of the current monthly term. For annual subscriptions, cancellation becomes effective at the end of the current annual term.
After cancellation, access to licence-based functions remains available until the end of the already paid subscription period. After expiry of the licence, access to licence-based functions ends automatically.
Plan changes are not automatically available through the customer portal. If no separate plan-change function is provided, the customer may cancel the current subscription and start a new subscription for another plan after the current paid term has ended.
A pro-rata refund of fees already paid in the event of early cancellation is excluded unless mandatory law requires otherwise.
§ 7 Provision and Technical Access
After successful payment, access information, licence keys, package access or installation instructions are provided electronically. The provision email contains the information required to activate or use the selected subscription.
Technical provision may take place through package access, licence validation, documentation access or product interfaces at jsonld.avensio.de. Documentation for Avensio packages is provided through docs.avensio.de. Documentation for the Pro-Features are provided inside the JSON-LD Debugger in the Nuxt DevTools with an active license.
The customer is responsible for a suitable technical environment, in particular a supported development setup, package manager, framework version and network access required to use the subscription features.
Maintenance, updates and temporary restrictions may occur. After a licence has expired, the open-core part of the software remains unaffected, but licence-based functions may be restricted or deactivated.
§ 8 Support and Availability
For paid plans, email support may be included as described on the product page or in the selected plan. Support requests can be sent to support@jsonld.avensio.de.
Avensio aims to provide digital access with reasonable technical care. No uninterrupted availability, specific response time or service-level agreement is promised unless this is expressly agreed for a specific product or plan.
Software products are developer tools. Permanent compatibility with all third-party software, framework versions, build systems or deployment environments is not guaranteed.
§ 9 Right of Withdrawal
Consumers may have a statutory right of withdrawal where mandatory consumer protection law applies. Whether such a right exists depends on the applicable law of the consumer's country, the type of contract and the circumstances of the order.
Where a statutory right of withdrawal exists, the withdrawal period is fourteen days from the date the contract is concluded, unless mandatory law provides for a different period.
To exercise a right of withdrawal, you must inform us by means of a clear declaration of your decision to withdraw from the contract. You may do so by email to support@jsonld.avensio.de.
If an electronic withdrawal function is provided on the website, consumers may also use that function to submit a withdrawal declaration. In that case, we will send an acknowledgement of receipt by email or another durable medium.
Expiry of the Right of Withdrawal
For digital services, digital content and licence-based subscription access, an existing right of withdrawal may expire once performance of the contract begins, provided that the legal requirements for early performance and loss of the withdrawal right are met.
In particular, this may apply where the consumer has expressly agreed that performance may begin before the withdrawal period expires and has confirmed knowledge that the right of withdrawal is lost when performance begins.
Performance begins when the provision email is sent, when digital access is made available, when the licence key or protected package access is provided, or when licence-based functions are enabled.
If the right of withdrawal has expired because performance has begun under the applicable legal requirements, the subscription can still be cancelled with effect from the end of the current paid term according to § 6.
Traders do not have a statutory right of withdrawal.
§ 10 Warranty and Liability
Warranty
Consumers are entitled to the statutory warranty rights. Licence-based software services must conform to the agreed characteristics at the time the contract is concluded and must be suitable for ordinary use.
During the statutory warranty period, updates necessary to preserve conformity are provided where such updates are required by law.
Limitation of Liability
We are fully liable for intent and gross negligence. In the event of a breach of essential contractual obligations, meaning obligations whose fulfilment is indispensable for the proper performance of the contract and on whose observance the contractual partner may regularly rely, we are also liable for slight negligence. In this case, liability is limited to the foreseeable damage typical for the contract at the time the contract was concluded.
Any further liability for damages, regardless of the legal basis, is excluded to the extent permitted by law. Mandatory liability under product liability law and in cases of injury to life, body or health remains unaffected.
§ 11 Final Provisions
Applicable Law
All disputes arising in connection with these Terms are governed by the law of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods. This also applies to orders placed from abroad, subject to mandatory consumer protection rules.
The terms and conditions of the respective payment service provider, in particular Stripe, apply additionally to payment processing. These terms concern only the payment services provided there.
Jurisdiction
If the purchaser is a merchant, a legal person under public law or a special fund under public law, the exclusive place of jurisdiction is the provider's place of business. For consumers, the statutory place of jurisdiction applies.
Changes to the Terms
These Terms may be updated where required for legal, technical or business reasons. The version applicable at the time of contract conclusion remains relevant for that contract unless a change is validly agreed.
Severability Clause
If individual provisions are invalid, the remaining provisions remain unaffected. The statutory provisions apply in place of the invalid provision.
